1. Confidentiality (Non-Disclosure)
In consideration of being granted access to the Maxis platform and to any information disclosed through it, the undersigned user ("Recipient") acknowledges that all non-public information made available by Maxis or its affiliates, partners, clients, or counterparties — including but not limited to business plans, deal terms, pricing, financial data, sources, methods, contacts, technology, trade secrets, and the identities of introduced parties (collectively, "Confidential Information") — is proprietary and disclosed in strict confidence. The Recipient agrees to hold all Confidential Information in trust, to use it solely for the purpose for which access is granted, and not to reproduce, disseminate, or disclose it to any third party without the prior written consent of Maxis. This obligation survives termination of the Recipient's access and remains in effect for a period of five (5) years from the date of disclosure, or for so long as the information remains non-public, whichever is longer.
2. Non-Circumvention
The Recipient further agrees that it shall not, directly or indirectly, and whether alone or in concert with others, circumvent, avoid, bypass, or attempt to circumvent Maxis in any transaction, introduction, relationship, or opportunity arising from or made possible by the Confidential Information or the access provided herein. The Recipient shall not contact, solicit, transact with, or otherwise engage any party, source, contact, client, or counterparty introduced or disclosed by Maxis for the purpose of avoiding the payment of fees, commissions, or other compensation due to Maxis, or for the purpose of depriving Maxis of the benefit of any such relationship or opportunity. This non-circumvention obligation applies to the Recipient's officers, employees, agents, and affiliates, and remains in effect for a period of three (3) years from the date access is first granted. The Recipient acknowledges that any breach of these terms may cause irreparable harm to Maxis for which monetary damages would be inadequate, and that Maxis shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
